1. Scope
These General Terms and Conditions apply to all contracts for licenses for the WordPress plugin Replace External Images (Pro and Pro Unlimited) initiated via the website hansandfriends.de. The provider of the plugin is

The free version of the plugin is provided via WordPress.org under the GPLv2 or later license. These terms apply to it only insofar as they concern support and liability.
2. Customers
(1) Our offers are directed exclusively at entrepreneurs (businesses) within the meaning of § 14 BGB, i.e. natural or legal persons and partnerships with legal capacity who, when making the purchase, act in the exercise of their commercial or independent professional activity.
(2) We do not enter into contracts with consumers within the meaning of § 13 BGB. By making the purchase, the customer confirms that they are acting as a business.
3. Ordering, contracting party and payment
(1) Ordering, payment processing and invoicing are handled by Freemius Inc., 4023 Kennett Pike, Wilmington, DE 19807, USA, which processes the sale as a reseller (Merchant of Record). The Freemius terms additionally apply to the ordering process.
(2) The presentation of the licenses on hansandfriends.de does not constitute a legally binding offer. By completing the ordering process, the customer submits a binding offer, which is accepted with the order confirmation.
(3) All prices are net prices plus statutory VAT. Freemius calculates the VAT during the ordering process based on the customer’s country and VAT ID and shows it on the invoice.
(4) Payment is made by credit card or PayPal. The license is provided once payment has been successfully received.
4. Delivery
(1) Delivery is exclusively digital. After the purchase, the customer receives a license key and a download link by email. Downloads, invoices and licenses are also available in the customer account at users.freemius.com.
(2) No physical products are shipped.
5. License and use
(1) The license is paid once and is valid without time limit. Pro entitles the customer to use the plugin on one website, Pro Unlimited on any number of websites. Development and test environments (for example localhost or staging) do not count.
(2) Use of the Pro features requires a valid license key, which is entered in the plugin and verified via Freemius. The customer can transfer a license to another website at any time.
(3) The program code is licensed under the GPLv2 or later. The license entitles the customer to receive updates and support; passing the license key on to third parties is not permitted.
(4) Updates are provided without time limit for as long as the plugin is being developed.
6. Support
Pro customers receive support by email at plugins@hansandfriends.de. We usually respond within two business days. Support covers questions and bugs relating to the plugin, but not general WordPress help, problems with the theme, hosting or other plugins, or customizations to the customer’s website.
7. Refunds
If the plugin does not work for the customer due to a technical problem and we are unable to solve it, we will refund the full price within 14 days of purchase. This requires the customer to describe the problem to us by email within this period and to include the import log or a screenshot so that we can reproduce it and first attempt to fix it. Missing features that are not promised in the product description, as well as problems caused by the theme, hosting or other plugins, are not grounds for a refund.
8. Warranty and liability
(1) The statutory warranty rights apply.
(2) Merguet Werbeagentur GmbH is liable only in cases of intent or gross negligence. This does not apply to damages arising from injury to life, body or health.
(3) Liability for indirect damages or data loss is excluded unless liability is mandatory by law. We recommend creating a backup before larger imports.
9. Former add-ons
Licenses for the add-ons previously sold via hansandfriends.de (Pages, Custom Post Types, WooCommerce) remain valid. Buyers of these add-ons will receive a free Pro license on request.
10. Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes is Saarbrücken.
(3) Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
